Despite significant declines in recent banking M&A volume, the trends that have driven banking M&A remain consistent. Many banks recognize that remaining competitive requires growth, organic or through acquisitions, regardless of the economic environment. 

In parallel, banks must manage escalating regulatory scrutiny of M&A transactions and risk management capabilities. The OCC, for example, has highlighted that it may impose additional requirements and restrictions on banks that exhibit persistent weaknesses such as restrictions on a bank’s growth or divestures requirements1.

Banks engaging in M&A should look to manage risk and compliance expectations proactively and be prepared to demonstrate a disciplined approach for risk management integration to confidently address the heightened scrutiny from supervisors, and ultimately earning the trust and confidence of customers and key stakeholders. 

The KPMG risk integration team brings a holistic, business, and operational risk perspective to integration needs. We help risk organizations execute effectively on their integration agenda by bringing a unique blend of risk and integration expertise, deep industry knowledge, tech-enabled tools and playbooks built in support of our numerous bank integration engagements over the last decade.

We have supported Integration Management Offices (IMOs) and risk integration-focused workstreams delivered by business, support, and risk teams at all phases of the bank M&A lifecycle. Risk integration related activities that we handle include:
Integration risk assessments
  • Integration risk assessments
    Assists business and risk teams with assessments of risk management program components and integration enablers – including policies, issues, risk metrics, transaction services agreements (TSAs), etc. – that will need to be managed or integrated as part of the transaction and the development of follow-on guidance and actions. Our assessments can also cover interim model structure against key regulatory requirements (e.g., OCC’s Heightened Standards).
Risk integration project plans development
  • Risk integration project plans development
    Helps individual business and risk teams determine and organize the list of supporting tasks, actions, and key milestones that will need to be executed as part of the risk integration program in a holistic manner while considering related dependencies and larger central integration program requirements. 
Risk integration program implementation
  • Risk integration program implementation
    Helps individual business and risk teams design and implement required changes to existing risk programs, processes, and data in preparation for key integration milestones (e.g., conversion) and to address open regulatory and non-regulatory issues. Our implementation support can also include the validation and testing of outputs produced to determine how effectively they address internal and external requirements and the delivery of post integration activities such as training. 
Central program management and monitoring
  • Central program management and monitoring
    Supports the establishment and implementation of a centralized governance structure, processes, and artifacts that enable risk integration leaders effectively oversee risk integration activities; report to senior management and regulators; and manage potential risks, issues, and escalations.
Regulatory compliance program management
  • Regulatory compliance program management
    Provides experienced professional support to individual business lines, risk teams and the enterprise in preparing for regulatory compliance requirements resulting from M&A activity, such as: conducting regulatory gap assessments; developing regulatory integration plans; aligning and converging policies and frameworks; establishing pre-and post-integration testing strategies; and assisting with regulatory exam preparation.
Risk and compliance operational due diligence
  • Risk and compliance operational due diligence
    Assist business, risk and compliance teams with initial “red flag” assessments of current state structure and maturity of compliance and operational risk management programs within an acquisition or merger target pre-close. Perform deep dives into identified areas of weakness and drive enhancements of operational risk and compliance programs post-close.
